Wholesale Terms & Policies
Ancient Whisper -Diffuser Collection
Effective Date: March 2026
1. Eligibility & Approval
All wholesale accounts are subject to approval at the sole discretion of Ancient Whisper. We reserve the right to deny or revoke wholesale access at any time.
2. Minimum Order Requirements
Opening Order Minimum: $150.00
Reorder Minimum: $100.00
Certain products may require case pack quantities (e.g., multiples of 4 or 6 units).
3. Pricing & Payment Terms
All prices are listed in USD and are subject to change without notice.
Accepted payment methods: Payment collected during checkout.
Orders must be paid in full prior to shipment unless otherwise agreed in writing.
4. Minimum Advertised Price (MAP) Policy
To protect brand integrity:
Retailers may not advertise products below the established MAP pricing.
MAP applies to all public-facing channels including websites, email marketing, and third-party marketplaces.
Violations may result in suspension or termination of the wholesale account.
5. Authorized Sales Channels
Wholesale customers agree to sell products only through approved channels:
Permitted: brick-and-mortar retail locations and approved websites
Prohibited (without written approval): third-party marketplaces (e.g., Amazon, eBay, Etsy), resale platforms, or redistribution to other wholesalers.
Products may not be resold to other businesses without prior written consent.
6. Branding & Intellectual Property
All products must be sold in their original packaging.
Altering, relabeling, or rebranding products is strictly prohibited.
Use of Ancient Whisper images, logo, or marketing materials must be approved.
7. Shipping & Delivery
Shipping costs are the responsibility of the buyer unless otherwise agreed.
Estimated lead times: 3-5 days.
Risk of loss transfers to the buyer once the shipment leaves our facility.
Ancient Whisper is not responsible for carrier delays.
8. Damages, Returns & Exchanges
All sales are final. No returns on wholesale orders.
Damaged or defective items must be reported within 3–5 business days of delivery.
Claims must include photos of damage and packaging.
Approved claims may be replaced or credited at our discretion.
We do not accept returns for unsold merchandise.
9. Order Changes & Cancellations
Orders cannot be modified or canceled once processing has begun.
Custom or large orders may require deposits and are non-cancelable.
10. Account Termination
Ancient Whisper reserves the right to:
Refuse service or cancel orders at any time
Terminate accounts for violations of these terms
Revoke wholesale privileges without prior notice
11. Chargebacks & Refused Shipments
Customers are responsible for all chargeback fees incurred.
Refused shipments will be subject to return shipping and restocking fees.
12. Territory
Wholesale accounts are non-exclusive unless otherwise agreed in writing.
Exclusivity (if granted) is subject to minimum purchase requirements and performance.
13. Force Majeure
Ancient Whisper is not liable for delays or failure to perform due to events beyond reasonable control, including but not limited to supply chain disruptions, natural disasters, or labor shortages.
14. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of California.
Any disputes shall be resolved in Alameda County, California.
15. Agreement Acknowledgment
By placing an order, the wholesale customer acknowledges and agrees to all terms and policies outlined above.
